Terms of Service

Synapse Terminal LLC(“Synapse Terminal,” “we,” “us”) is a Wyoming limited liability company. By accessing, subscribing to, or purchasing any Synapse Terminal product you agree to these Terms.

1. Nature of the Service

Synapse Terminal is historical market-data analysis software and trading-journal software sold on a subscription and one-time-license basis. The Service provides tooling to query, visualize, and statistically describe publicly availablehistorical exchange records (primarily CME Globex futures tape since 2007) and to record a user’s own trading notes, screenshots, and execution journal.

Synapse Terminal is not a broker, dealer, investment adviser, financial adviser, money transmitter, payment processor, securities exchange, custodian, signal service, copy- trade service, managed-account service, or fund manager. We do not solicit, route, accept, hold, or transmit any orders, customer funds, or securities. We do not produce buy or sell recommendations. We do not produce real-time actionable trade signals. We do not predict future prices. We do not promise, project, or suggest investment returns of any kind.

2. Educational & Informational Use Only

All content, dashboards, distributions, frequency tables, journal templates, written explainers, video walk-throughs, and software outputs are provided strictly for educational and informational purposes. Statistical descriptions of historical data are not predictions. Past distributions do not guarantee, imply, or suggest future market behavior.

Nothing produced by the Service constitutes investment advice, financial advice, tax advice, legal advice, accounting advice, brokerage services, an offer to sell or a solicitation of an offer to buy any security, derivative, commodity, currency, digital asset, or financial instrument in any jurisdiction. You are solely responsible for all trading, investment, and capital-allocation decisions you make, including the entry, sizing, exit, and risk management of any position.

3. Eligibility

You must be at least 18 years old and legally permitted to purchase educational software in your jurisdiction to use the Service. The Service is offered only to subscribers in jurisdictions where educational financial-data analysis software is lawful. If you reside in a jurisdiction where the Service or its content is prohibited, you must not access or purchase the Service.

4. Subscriptions & One-Time Licenses

Subscriptions renew automatically on a monthly or annual cycle at the price displayed at checkout. You may cancel at any time from your account dashboard; cancellation takes effect at the end of your current billing period and you retain access until that date. One-time licenses grant lifetime access to the specific software version(s) listed at purchase.

5. Evaluation Period

Where offered, an evaluation period is available at a flat, non-recurring access fee of $5.00 USD for 14 days. The evaluation fee is non-refundable because the software is delivered immediately on payment. After 14 days the account automatically converts to the selected subscription plan at the standard price unless cancelled before the evaluation ends.

6. Payments & Merchant of Record

All payments are processed by Paddle.com (Paddle.com Market Limited and Paddle.com USA Inc.), our Merchant of Record. Paddle appears as the merchant on your bank or card statement and is responsible for billing, tax collection, and refund processing. Paddle’s Checkout Buyer Terms and Privacy Policy also apply to all payment transactions.

7. Refunds

Subscription refunds for the current billing period are not issued once that period has started. The 14-day evaluation fee is non-refundable. One-time licenses are refundable within 14 days of purchase only where the licensed software has not been substantially accessed or downloaded. All approved refunds are processed by Paddle to the original payment method within 5–10 business days. Refund requests: support@synapse-terminal.com.

8. Intellectual Property

All Synapse Terminal source code, statistical methodology documentation, classification taxonomies, journal templates, written content, video content, and software outputs are the exclusive intellectual property of Synapse Terminal LLC. Subscriptions and licenses grant you a limited, non-exclusive, non-transferable, per-seat right to use the Service for your personal, internal purposes. You may not copy, redistribute, resell, sublicense, publish, or reverse-engineer any part of the Service, nor represent any Service output as your own proprietary research.

9. Prohibited Uses

You may not, and may not permit any third party to:

  • Use the Service or its outputs to provide investment advice, trading signals, discretionary or systematic asset management, or copy-trade services to third parties
  • Share, resell, or redistribute access credentials, content, or software outputs
  • Scrape, mirror, or extract data from the Service at scale, or use automated tools without our written permission
  • Use the Service to manage funds on behalf of others
  • Represent Synapse Terminal data or methodology as your own proprietary research
  • Use the Service in any jurisdiction or for any purpose that is unlawful or that would subject Synapse Terminal LLC to regulation as a broker, dealer, adviser, or money transmitter

10. Disclaimer of Warranties

The Service is provided “as is” and “as available.” We make no warranty that the Service will be uninterrupted, error-free, or that any statistical output will be accurate, complete, or current. Historical market data is sourced from third parties and may contain errors. We disclaim all implied warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement.

11. Assumption of Risk

Trading and investing in any financial instrument involve substantial risk, including the risk of total loss of capital. You acknowledge and accept that any trading or investment decision you make is made solely by you, based on your own independent judgement, and that Synapse Terminal LLC has no role in, and assumes no responsibility for, such decisions.

12. Limitation of Liability

To the maximum extent permitted by law, Synapse Terminal LLC’s aggregate liability for any claim arising from your use of the Service is limited to the amount you paid us in the three (3) months preceding the claim. We are not liable for trading losses, missed opportunities, lost profits, or any indirect, incidental, special, consequential, or punitive damages of any kind.

13. Indemnification

You agree to indemnify, defend, and hold harmless Synapse Terminal LLC, its officers, members, employees, and contractors from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

14. Compliance with Sanctions

You represent that you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive U.S. sanctions, and that you are not listed on any U.S. or international sanctions list. You agree not to use the Service in violation of any export-control, sanctions, or anti-money-laundering law.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles. Any dispute shall be resolved in the state or federal courts of Laramie County, Wyoming, and you consent to the exclusive jurisdiction and venue of those courts.

16. Changes to These Terms

We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance. Material changes will be notified by email to active subscribers.
